Online Banking Agreement and Disclosure
The following agreement and disclosure represents the terms and
conditions of NetTeller, 1st Regents Bank’s internet banking
service. Please read the agreement and disclosure carefully before
agreeing to its terms and conditions. By using NetTeller, you
agree to abide by the terms and conditions of this Agreement and
acknowledge your receipt and understanding of the disclosures
contained in this Agreement. The terms and conditions of this
Agreement constitute a valid and binding legal contract between
you and 1st Regents Bank (the bank). If you have any questions

INTERNET SECURITY INFORMATION
A web-based browser capable of secure Internet connections is
required. Your Internet browser must, at a minimum support 128-bit
encryption. 1st Regents Bank, NetTeller, Internet Banking Service
uses SSL (secure socket layer) encryption technology for all information
and banking transactions you exchange or conduct through the system.
Your Internet Browser automatically activates this technology
when it attempts to connect to NetTeller.
You are responsible for obtaining, installing, maintaining
and operating all equipment, you use. We do not warrant nor will
we be responsible for any errors or failures from the malfunction
or failure of your equipment
You agree that 1st Regents Bank is not responsible for any
electronic virus that you may encounter using NetTeller.
In addition to the security measures described above, there
may be other security notices posted on our website regarding
security issues. It is your responsibility to read all applicable
notices.
ACCESS AVAILABILITY
You may access any of your accounts through NetTeller, seven (7)
days a week, twenty-four (24) hours a day to obtain balances,
transaction history and other information. At certain times, NetTeller
may not be available due to system maintenance or circumstances
beyond our control. During these times you may use our Telephone
Banking line or any automated teller machine (ATM). During these
periods, customers will be notified of the maintenance activities
by an information screen that is displayed when attempting to
access NetTeller. Unforeseen technical difficulties may also interrupt
service. The Bank is not responsible for account or payment deficiencies
due to service outages.
To access your accounts through NetTeller, you must have
at least one eligible account with us. Eligible accounts that
can be accessed include the following:
Savings Accounts
Demand Deposits (checking accounts)
Certificates of Deposit
IRA Accounts
Loan Accounts
ENROLLMENT PROCESS
In order to begin our enrollment process, you must have at least
one eligible account with 1st Regents Bank. Next, you must complete
an enrollment form provided by 1st Regents Bank in order to begin
using NetTeller. The enrollment process involves completing an
application identifying the account or accounts you wish to access
through NetTeller, providing the information we need to make NetTeller
available to you, sign the application STATING YOU HAVE READ AND
UNDERSTAND THE TERMS OF THIS AGREEMENT AND THAT YOU INTEND TO
CREATE A VALID AND BINDING LEGAL CONTRACT BETWEEN YOU AND 1st
REGENTS BANK. Once we have received your completed and signed
Enrollment Form and verified your account information, we will
notify you of our acceptance of your enrollment and we will provide
you a user login ID and temporary PIN via U.S. Postal Service
mail. The registration process normally takes three to five business
days after receipt of your enrollment information. NetTeller can
be used to access only the Bank accounts you have designated in
your Enrollment Form for access via NetTeller. These forms can
be found on our website: 1stregentsbank.com website under THE
“internet Banking Information” tab or you may stop
by the Bank and pick up an enrollment form at: 1st Regents Bank,
1777 Bunker Lake Blvd NW, Andover, MN 55304.
If you would like to add or delete any of your accounts
from NetTeller, you will be asked to complete a ”change”
form, which you can obtain by simply contacting us at (763) 755-4227
or stop in and see one of our Personal Bankers. Change requests
will not be effective until received and accepted by the Bank.
LOG-ON SECURITY
As stated under the Enrollment Process, you will be assigned a
user login ID and a temporary PIN. After your initial sign on
to NetTeller, you will be prompted to change your PIN.
The PIN number must contain a minimum of five (5) characters
with a maximum of eight (8) characters. The PIN must contain both
alpha and numeric characters, the first character must be alpha.
Since your PIN is used to access your accounts, it must
be kept in a secure place. Anyone who has access to your password
and account will have full access to the services provided by
NetTeller. You should carefully select a PIN that is not easy
to guess. Memorize your PIN and keep it confidential. You will
have the option to change your password as often as you like.
This can be done from the “Options” menu at any time.
The NetTeller system will allow the user three (3) invalid
attempts to log into the system. Upon the third unsuccessful login,
the User ID is locked and no access will be allowed for the next
24 hours. You will need to contact the bank to have your account
unlocked and the PIN reset . In such cases, you may log in with
the new PIN and will be forced to change the PIN immediately as
the system will view this as an initial access.
To help prevent unauthorized access to NetTeller and to ensure
the security of your accounts, we will end your NetTeller session
if we have detected no activity for ten (10) minutes. This procedure
is to protect you in case you accidentally leave your computer
unattended while you remain logged on to NetTeller.
The Bank reserves the right, but shall have no obligation,
to block your access to NetTeller to maintain or restore security
to the Bank’s account information and data processing if
the Bank believes your means of identification as a NetTeller
user (including but not limited to, your PIN, user login ID, or
other access codes), have been or may be obtained or are being
used or may be used by an unauthorized person or persons. If you
gave someone your means of identification and wish to terminate
his or her authority, or if you believe or know that your means
of identification has been compromised, you must notify the Bank
immediately to enable the Bank to take necessary steps to change
the means of identification. You agree to defend, hold harmless
and indemnify the Bank from and against any and all claims of
any nature arising out of any such access by a person you have
authorized, permitted or enabled to have access to one or more
of your accounts via NetTeller.
NOTICE OF YOUR RIGHTS AND LIABILITIES
Notify the Bank immediately if your NetTeller login ID and password
have been compromised, lost, stolen or used without your authorization.
Failure to notify us immediately could result in your loss of
all funds in your accounts, plus the full amount of any pre-approved
overdraft limit. If we are notified within two (2) business days
after you discover that your user login ID and PIN have been compromised,
lost or stolen you can lose no more than $50.00 dollars if someone
used it without your permission. If you do not notify us within
two (2) business days, and we can prove we could have prevented
someone from using your user login ID and PIN without your permission,
you could lose as much as $500.00.
If your statement shows unauthorized transfers that you
did not make, notify us immediately. If you do not notify us within
sixty (60) days after the statement was mailed to you, you may
not get back any money you lost after the sixty (60) days if we
can prove that we could have stopped someone from taking the money
if you had told us in time.
If a good reason such as a long trip or hospital stay kept
you from telling us, we may extend the time periods as may be
reasonable under the circumstances.
ERRORS AND QUESTIONS
In case of errors or questions concerning transactions completed

We must hear from you within sixty (60) days after you receive
your first statement or notification in which the error or problem
appeared. Please include the following information:
- Your name and account number
- Description of the error or transfer you are unsure about,
and an explanation of why you believe it was an error, or a
description of why you need more information.
- Tell us the dollar amount of the transaction in question
We will determine whether an error occurred within 10 business
days (5 business days for 1st Regents Cash and Check Card point-of
sale transactions and 20 business days if the transfer involved
a new account) after we hear from you and will correct any error
promptly. If we need more time, however, we may take up to 45
days (90) days if the transfer involved a new account, a point-of-sale
transaction, or a foreign-initiated transfer) to investigate your
complaint or question. If we decide to do this, we will credit
your account within 10 business days (5 business days for 1st
Regents Cash and Check Card point-of-sale transactions and 20
business days if the transfer involved a new account) for the
amount you think is in error, so that you will have the use of
the money during the time it takes us to complete our investigation.
If we ask you to put your complaint or question in writing and
we do not receive it within 10 business days, we may not credit
your account. Your account is considered a new account for the
first 30 days after the first deposit is made, unless each of
you already has an established account with us before this account
is opened.
We will tell you the results within three business days
after completing our investigation. If we decide that there was
no error, we will send you a written explanation.
You may ask for copies of the documents that we used in
our investigation.

INTERNET BANKING SERVICES
NetTeller services are free of charge. You can obtain account
information including:
Account history for Demand Deposits, Savings Accounts, for current
and previous statement cycles, you may export this information
directly to your computer in a variety of file formats such as
Microsoft Money or Excel. Account related information such as
the current balance on all types of accounts, loan payment amounts,
payment due dates and maturity dates on certificates of deposit
may also be accessed. You may also transfer funds from checking
to checking, checking to savings, savings to savings, savings
to checking, make payments from checking to loan accounts, make
payments from savings to loan accounts.
You can also make advances from your line of credit into your
checking account.
All transfers and payments made before 6:00 PM will be credited/charged
on current day’s work. Any transfers or payments made after
6:00 PM will appear on the next business day.
BALANCE INQUIRIES AND FUNDS TRANSFER LIMITATIONS
You may use NetTeller to check the balance of your accounts and
to transfer funds among your accounts. According to Federal regulations,
you may not make more than six (6) preauthorized or automatic
transfers from any Money Market Deposit account or Savings account
during any single monthly settlement period. These transactions
include preauthorized fund transfers, telephone transfers and
Online banking transactions. There are no limits to the number
of transfers, which can be made from any Demand Deposit or NOW
account (collectively referred to as “Checking” Accounts).
NetTeller transfers from a savings or money market savings account
is counted as one of the six limited transfers you are permitted
each monthly statement cycle.
Failure to make transfers- If we do not complete a transfer
to or from your account on time or in the correct amount according
to our agreement with you, we will make every effort to remedy
the situation; however, we cannot assume any responsibility:
- If you do not have enough money in your account to make a
transfer or if your account has been closed.
- If you have overdraft protection and the transfer would exceed
the credit limit.
- If the terminal or system was not working properly and you
knew about the breakdown when you started the transfer.
- If circumstances beyond our control (such as fire, flood,
or system failure) prevent the transfer, despite reasonable
precautions that we have taken.
- If a hold has been placed on your account.
- If the transfer instructions were not properly followed
- If the money in your account is subject to legal process,
adverse claims or other encumbrances restricting transfer.
- If this agreement has been terminated by either you or the
bank.
- If there has been unauthorized use of your password.
The account balances shown by NetTeller may differ from your
records for various reasons. The balances in your accounts shown
by NetTeller may include deposits still subject to verification
by the Bank, deposits in process and processing times for outstanding
checks or other withdrawals, payments or charges. A transfer request
may not result in immediate availability because of the time required
to process the request. NetTeller will use the most current balance
in the Bank’s primary computer records at the time of a
transaction request in determining whether to approve the request.

STOP PAYMENTS
Stop payments may be placed on checks or pre-authorized electronic
funds transfers by contacting 1st Regents Bank by telephone.
For checks, a stop payment order must be received in time to give
us a reasonable opportunity to act on it and must precisely identify
the check. The information must include your name, your account
number, the date of the check, the amount, the payee, the check
number and the reason for the stop payment. If a replacement check
was issued, please indicate so, including the check number of
the reissue.
For electronic pre-authorized transfers, we need the date the
transaction will take place, the amount of the transaction, the
company initiating the transfer and the reason for the stop payment.
We must receive your stop payment request at least three (3) business
days before the scheduled payment date of the pre-authorized electronic
fund transfer. In order for us to honor the stop payment request,
you must be an authorized signer on the account If you contact
us by telephone, we will require you to either submit your request
in writing or stop in at the Bank and sign the Stop Payment order
within fourteen (14) days after you call.

ACCOUNTS
You may access any account through NetTeller of which you are
either an owner or authorized signer. If you desire services that
allow you to initiate payments or transfers from an account, you
must have withdrawal authority over that account to be able to
complete the transaction. By using NetTeller, you agree to maintain
one or more accounts with us and to keep sufficient balances in
your accounts to cover any transactions that are ultimately approved
by or related to NetTeller. If an account included in your NetTeller
access is jointly held or has multiple signers, you agree that
any and all users authorized to access the account must have their
own NetTeller login ID and PIN unless within a reasonable time
prior to the use in question we have been notified in writing
to cancel your NetTeller service in general or for that account.
When you instruct the Bank to transfer funds between your
accounts, you authorize the Bank to withdraw the necessary funds
from the account you designate. As with any funds transfer request,
you agree that you will instruct the Bank to make a withdrawal
only when a sufficient balance in your designated account is or
will be available at the time of the withdrawal. The Bank will
not be obligated to act on any withdrawal instruction from you
if sufficient funds, including any overdraft privileges previously
approved for you are not available in the account you designate.
If at any time you perform transactions, whether through
NetTeller or other types of electronic or paper based transactions,
on your account and that account contains insufficient funds to
allow all of the transactions to be performed, we may, at our
sole discretion, choose which transactions we will allow to be
performed and we may refuse your other transactions (including
NetTeller transactions). Alternately, we may at our sole discretion,
allow all such transactions to be performed and create an overdraft
on your account. Overdraft charges may be assessed pursuant to
the terms of the deposit agreement for that account.
LIMIT OF BANK AND OTHER PROVIDERS’ RESPONSIBILITIES
1st Regents Bank agrees to make reasonable efforts to ensure full
performance of NetTeller. The Bank will be responsible for acting
only on those instructions sent through NetTeller that are actually
received, and cannot assume responsibility for malfunctions in
communication failures not under its control that may affect the
accuracy or timeliness of messages you send. 1st Regents Bank
is not responsible for any losses or delayed transmission of instructions
arising out of the use of any Internet Service Provider or caused
by any browser software. Any information you receive from 1st
Regents Bank can only be provided on a best-effort basis for your
convenience and is not guaranteed. 1st Regents Bank is not liable
for any deficiencies in the accuracy, completeness, availability
or timeliness of such information or for any investment or other
decision made using this information. The Bank is not liable for
any computer virus or related problems that may be attributable
to E-Banking or to any service provided by any Internet Service
Provider. In no case shall 1st Regents Bank be liable for consequential
or incidental damages.
1st REGENTS BANK MAKES NO EXPRESS OR IMPLIED WARRANTIES
CONCERNING NETTELLER, INCLUDING, BUT NOT LIMITED TO ANY WARRANTIES
OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
OF THIRD PARTY PROPRIETARY RIGHTS UNLESS, AND THEN ONLY TO THE
EXTENT, THAT DISCLAIMING SUCH WARRANTIES IS PROHIBITED BY LAW.
USAGE
You may use NetTeller for your personal use only and may not reproduce,
sell or distribute any or all portions of the information provided
to you by the NetTeller service. You agree to take reasonable
steps to ensure that you will not use the services provided to
you or the Internet for illegal purposes, for transmission of
threatening, obscene or harassing materials, or to interfere with
or disrupt other users, services or equipment. Disruptions include,
but are not limited to, distributing chain letters or mass mailing
of unsolicited e-mail, propaganda, computer worms and viruses,
or using the services and the Internet to make unauthorized entry
to any other machine. Violation of the foregoing may result in
termination of access rights to the offending party or parties.
PERIODIC STATEMENTS
You will receive a monthly account statement from us for your
checking and NOW accounts. You will receive a monthly account
statement from us for your savings accounts if there are electronic
funds transfers from the savings account in a particular month.
In any case, you will receive a savings statement at least quarterly.
These printed statements will detail your NetTeller activities.
CONFIDENTIALITY
We may disclose information about your accounts to third parties
in accordance with our Privacy Policy as it exists and as it may
be amended from time to time. Please see our current Privacy Policy,
which is available online at our website: 1stregentsbank.com.
SEVERABILITY
In the event any one or more of the provisions of this Agreement
shall for any reason, hold to be invalid, illegal or unenforceable,
the remaining provisions shall remain valid and enforceable.
GOVERNING LAW
The terms and conditions of this Agreement shall be governed by
and construed in accordance with the laws of Minnesota, without
regard to its conflict of law provision. Any issue relating to
an account or service with 1st Regents Bank, which you access
through NetTeller, shall be governed by the laws specified in
the agreement for that account or service.
WAIVER
Any waiver (express or implied) by either party of any default
or breach of this Agreement must be in writing and signed by an
authorized officer of the Bank, and shall not constitute a waiver
of any other or subsequent default of breach.
ASSIGNMENT
1st Regents Bank may assign its rights and delegate its duties
under this Agreement to a company affiliated with 1st Regents
Bank or to any other party. You may not assign any of our rights
or duties under this Agreement at any time.
ENTIRE AGREEMENT
This Agreement, together with the Enrollment Form is the entire
agreement between you and 1st Regents Bank regarding your use
of NetTeller and it supersedes any prior discussions and agreements
between you and the Bank regarding your use of NetTeller and supersedes
any marketing or other similar material pertaining to the NetTeller
service delivered to you in writing, verbally or obtained at 1st
Regents Bank site or the site of any Internet Service Provider.
CHANGE IN TERMS
We may amend this Disclosure and /or Agreement at any time. We
may also change the NetTeller service, including service fees,
at any time. If we change any term(s) or condition(s) that would
result in a greater cost or liability to you or decrease access
to your accounts, we will notify you at least thirty (30) days
in advance. Notices mailed or delivered to you under this paragraph
will be considered effective if mailed to the most recent address
we show for you on the account records we have on file for you.
You understand that by using NetTeller after you have been notified
of the change, and after the change becomes effective, you are
agreeing to the change.
We do not need to provide you with any prior notice where
an immediate change in the terms or conditions of the Agreement
is necessary to maintain or restore the security of our system
or an account. However, in these cases, if the change is to be
made permanent, we will provide you with a notice of the change
with the next regularly scheduled periodic statement we send you
if feasible, or within thirty (30) days, unless disclosure would
jeopardize the security of our system or an account
TERMINATION
This Agreement will remain in effect until it is terminated by
you or 1st Regents Bank.
Your Right to Terminate: You may cancel your NetTeller service
at any time by providing a written notice via the U.S. Postal
Service to: 1st Regents Bank, 1777 Bunker Lake Blvd NW, Andover,
MN 55304 or fax to (763) 755-4228. Termination of the service
will be effective the first business day following receipt of
your written notice.
Our Right to Terminate: You agree that we may terminate
or limit your access to NetTeller for any of the following reasons:
- You or any unauthorized users of your password breach this
or any other agreement with us.
- We have reason to believe that there has been an unauthorized
use of your account or password.
- Without prior notice, if you have insufficient funds in any
of your accounts.
- Upon reasonable notice, for any other reason at our sole
discretion.
If you do not access your eligible accounts via our service
for any three (3) month period, we may terminate your service.
